Confidentiality Agreements
Confidentiality Agreements have become commonplace in relationships between industry and academia.

The initial understanding with a prospective industrial sponsor is often an agreement in which the company commits that it will not disclose information concerning an investigator's ideas to any third party or use them for any purpose other than determining the company's interest in sponsoring the investigator's research or negotiating the acquisition of rights in an invention or discovery which may be disclosed. Aside from the obvious advantage of protecting investigator's ideas from being used without their consent, these agreements will prevent the loss of foreign patent rights in any inventions that may be disclosed.

In some cases, a company may ask an investigator to agree to maintain in confidence company confidential information disclosed in the discussion of proposed sponsored research or in the course of sponsored research. The Hospital, as an institution, will not sign such agreements, nor may individual investigators sign such agreements on behalf of the Hospital. Investigators may sign on their own behalf, undertaking the confidentiality obligations personally; however, these agreements, if not properly drafted, may violate Hospital policy by restricting the investigators' rights to publish or discuss the results of their Hospital research. Consequently, each confidentiality agreement must be reviewed and signed by CSRL before being signed by the investigator.

In order for CSRL to complete a CDA on your behalf, the CDA questionnaire document must be competed fully and in detail and submitted to your CSRL case manager within 5 days of the planned discussion. The information that you provide in this questionnaire will enable CSRL to draft and negotiate a suitable agreement that meets your needs and conforms to Partners policies.
